The Bank M&A Sale Process

About this event

Community banks are facing stiffening headwinds: net interest margins have compressed, loan growth is slowing, balance sheets are swollen with excess liquidity, and competition for quality credits is elevating. Amidst this backdrop, regulatory and political changes may now be looming on the horizon. As a result, significant M&A activity in the banking industry is anticipated in the coming quarters as an expanding number of potential sellers are expected to pursue a liquidity event in the coming quarters. Conversely, would-be buyers will increasingly turn to acquisitions as a means of realizing growth and achieving incremental scale efficiencies to at least partially offset the impact of challenging conditions.

Accordingly, this session will be helpful for Bank Executives and Board members who may contemplate a sale of their bank, whether in the near term or at a later date. The session will also offer useful insights to would-be acquirers, particularly on the sale process, transaction steps and timing, and how a prospective target is approaching a sale.

Specifically, this session will examine:

  • Sale Process: 3 different sale process options and the advantages and drawbacks of each
  • Transaction Sequence: Customary steps and sequencing in a sale process
  • Timeline: Transaction timeline and typical duration of key steps
  • Best Practices: Best practices for maximizing value and minimizing risk
